THE THEFT OR ATTEMPTED THEFT OF TRADE SECRETS IS A FEDERAL CRIME UNDER UNITED STATES LAW, AND IS PUNISHABLE BY THE IMPOSING OF HEAVY CIVIL FINES OF UP TO $5,000,000.00 AND/OR A TERM OF IMPRISONMENT OF UP TO 10 YEARS, OR BOTH.

Mediaplicity, Incorporated, and its registered business units, personnel, clients, suppliers and partners, in furtherance of its ZERO-TOLERANCE corporate security measures, and ongoing initiatives to protect its sensitive corporate trade secrets, established relationships and assets from internal or external theft, embezzlement, espionage, interception and/or misappropriation, reserves the right to undertake a reasonable scope of inquiry to determine any and all violations of the 'Terms of Use' Agreement of this site. These actions include, but are not limited to the collection of information, using legally sanctioned electronic and/or physical surveillance counter-measures, to assist Federal and/or State law enforcement authorities, corporate security specialists and/or retained legal personnel, in their general or specific duties, as related to potential or actual violations of these provisions.

The User further understands that attaining Mediaplicity contracts, affiliations, employment (full or part-time), and/or any other type of short or long-term business relationships or inquiries, under false premises, circumstances and/or false identities, either directly or through third-parties, for the purposes of collecting, relaying or examining Mediaplicity's internal or external corporate assets including, but not limited to: trade secrets; strategies; stored data lists on customers, clients, partners, personnel, resellers & suppliers; physical locations; corporate and individual properties (tangible and intangible), current/future monetary projections; business plans, internal memorandums, electronic and audio communications; and commercial contracts and contacts (established or otherwise), will not be tolerated under any circumstances, and will be prosecuted to the fullest extent of the law.

The User further covenants that he/she has read, fully understands and entirely agrees to abide by the applicable Federal & State Laws, as related to the protection of commercial Trade Secrets, derived from the United States Code, Section 1832, “The Economic Espionage Act of 1996”.

Theft of trade secrets: (a) Whoever, with intent to convert a trade secret, that is related to or included in a product that is produced for or placed in interstate or foreign commerce, to the economic benefit of anyone other than the owner thereof, and intending or knowing that the offense will injure any owner of that trade secret, knowingly -

(1) steals, or without authorization appropriates, takes, carries away, or conceals, or by fraud, artifice, or deception obtains such information;

(2) without authorization copies, duplicates, sketches,. draws, photographs, downloads, uploads, alters, destroys, photocopies, replicates, transmits, delivers, sends, mails, communicates, or conveys such information;

(3) receives, buys, or possesses such information, knowing the same to have been stolen or appropriated, obtained, or converted without authorization;

(4) attempts to commit any offense described in paragraphs (1) through (3); or

(5) conspires with one or more other persons to commit any offense described in paragraphs (1) through (3), and one or more of such persons do any act to effect the object of the conspiracy, shall, except as provided in subsection

(a), be fined under this title or imprisoned not more than 10 years, or both.

(b) Any organization that commits any offense described in subsection (a) shall be fined not more than $5,000,000.
